and you will return such Equipment to VGM Networking at your own expense<br \/>\n&gt;upon termination of the service to which the Equipment related.<br \/>\n&gt;If Equipment is lost, stolen, damaged, sold, leased, mortgaged, transferred, assigned, encumbered or not<br \/>\n&gt;returned, you agree to pay VGM Networking the reasonable value of such Equipment, together with any cost<br \/>\n&gt;incurred by us in seeking possession of such Equipment.<br \/>\n&gt;You authorize VGM Networking and our representatives to enter or have access to your premises as<br \/>\n&gt;reasonably necessary, at mutually agreed upon times, to install, maintain, inspect, repair or remove<br \/>\n&gt;the Equipment or to maintain, investigate, protect, modify or improve the operation of our services.<br \/>\n<br \/>\nInternet Connections<br \/>\nWireless Uncapped Home has no Fair Usage, Contention Ratio 1 to 10, Asymmetrical (upload 50% of download)<br \/>\nWireless Uncapped Business has no Fair Usage, Contention Ratio 1 to 5, Symmetrical (upload same as download)<br \/>\nAir Fibre Uncapped has no Fair Usage, Contention Ratio 1 to 2, Only available in certain high sites<br \/>\nFibre to the Home(FTTH) Uncapped has no fair usage, Contention Ratio 1 to 2, Upload depends on package<br \/>\n<br \/>\nIndemnity<br \/>\nYou hereby unconditionally and irrevocably indemnify VGM Networking and agree to indemnify and hold<br \/>\nVGM Networking harmless against all loss, damages, claims, liability and\/or costs, of whatsoever nature,<br \/>\nhowsoever and whensoever arising,suffered, or incurred by VGM Networking as a result of any claim instituted<br \/>\nagainst VGM Networking by a third party (other than yourself) as a result of (without limitation): your use of our<br \/>\nservices or products other than as allowed or prescribed in the Agreement; any other cause whatsoever relating<br \/>\nto the Agreement or the provision of services or products to you where you have acted wrongfully or failed to act<br \/>\nwhen you had a duty to act.<br \/>\n<br \/>\nCommencement, Duration, Termination<br \/>\nThe Agreement will commence on the Acceptance Date and endure indefinitely until it is cancelled as<br \/>\nprovided for in the clause 2, or otherwise provided in this Agreement. In the event that the product or service<br \/>\nyou have applied for is not activated within 30 (thirty) days of the acceptance date (or such extended period<br \/>\nas VGM Networking may advise) due to an Uncontrollable Event, the Agreement will automatically terminate<br \/>\nand no party shall have any liability to the order as a result of such termination.<br \/>\n<br \/>\nFixed Term Agreements<br \/>\nYou may cancel the Agreement either on the expiry of the fixed period selected in the Application form (such<br \/>\ninitial Fixed Period calculated from the Activation Date) or on at least 30 business Days written notice to<br \/>\nVGM Networking at any time prior to the expiry of the initial fixed period.<br \/>\nExisting clients may upgrade to the new pricing on this agreement, subject to a 12-month Fixed Period.<br \/>\nBreach of the fixed period (Initial Fixed Period) will result in a R3,500 Agreement Cancellation Fee.<br \/>\n<br \/>\nPayment<br \/>\nPlease use your USER NAME as reference when making payments.<br \/>\nBilling will commence on the Activation Date. You agree to pay all amounts due under this<br \/>\nagreement in consideration for a service or product in accordance with the Application Form under which<br \/>\nthat service is rendered or that product is offered. To the fullest extent permitted by law, all amounts due<br \/>\nand payable in terms thereof shall be paid free of exchange and without deduction or set-off, by way of a<br \/>\ndirect debit order made by you to VGM Networking. You agree that: VGM Networking will be entitled and<br \/>\nauthorized to invoice you for all outstanding amounts payable in terms of the Agreement, repairs and<br \/>\nequipment from the account specified by you (or any other bank or branch to which it may be transferred);<br \/>\nthe debit order will commence on the Activation Date and will continue and not be revoked until termination<br \/>\nof this Agreement or until all amounts due and owing to VGM Networking have been and finally discharged;<br \/>\nyou will sign all such forms and do all such things as may be necessary to give effect to the debit order as<br \/>\ncontemplated in this clause. Your first bill may be for part of a month and you be charged for the number of<br \/>\ndays left in the month in which you signed up or switched over, plus the subscription for the next month.<br \/>\n<br \/>\nAmendment of this Agreement<br \/>\nVGM Networking reserves the right to amend this agreement from time to time. Any new version of the<br \/>\nagreement will be displayed on our website together with the date on which it will become effective;<br \/>\nwhich will never be less than 30(thirty) days after the date on which it is first published. It is your<br \/>\nobligation to visit our website on a regular basis in order to determine whether any amendments have been<br \/>\nmade.<br \/>\n<br \/>\nGeneral<br \/>\nThe parties acknowledge and agree that this Agreement constitutes the whole of the agreement between<br \/>\nthem and that no other agreement, guarantees, undertakings or representations, either verbal or in writing<br \/>\nrelating to the subject matter of this agreement not incorporated in this Agreement shall be binding on the<br \/>\nparties unless recorded in writing and signed by both parties, not withstanding activation of the service.<br \/>\nYou agree that any notice we send to you in terms of any agreement concluded between us may be sent via<br \/>\ne-mail unless otherwise prescribed by law. You warrant that as at the date of signature of the Application<br \/>\nform, all details furnished by you and VGM Networking are true and correct and that you will notify VGM<br \/>\nNetworking in the event of any changed to such detail.<br \/>\n<br \/>\nSecurity Violations<br \/>\nCustomers are responsible for ensuring and maintaining security of their systems and the machines that<br \/>\nconnect to and use IP Services, including implementation of necessary patches and operating system updates.<br \/>\nIP Services may not be used to interfere with, gain unauthorized access to, or otherwise violate the security<br \/>\nof VGM Networking (or another party\u2019s) server, network, network access, personal computer or control devises,<br \/>\nsoftware or data, or other systems, or attempt to do any of the foregoing. System or network security violations<br \/>\nshall include, but not limited to: * unauthorized monitoring, scanning or probing of network or system or any<br \/>\nother action aimed at the unauthorized interception of data or harvesting of e-mail addresses, hacking,<br \/>\nattacking, gaining access to, breaching, security of any host, network server, personal computer, network access<br \/>\nand control devices, software or data without express authorization of the owner of the system or network,<br \/>\nimpersonating others or secretly obtaining personal information of third parties.<br \/>\n<br \/>\n<br \/>\nSocial Media<br \/>\nCustomers will reframe from posting any negative,hateful or defamation of VGM Networking\u2019s services that<br \/>\nwill negatively impact VGM Networking. Customers will be immediately removed from the<br \/>\nNetwork and if they still have agreements in place, it will be considered as a \u201cBreach of Agreement\u201d<br \/>\nand will be liable for the agreement cancellation fee.<br \/>\n<br \/>\nPoppy Act<br \/>\nCustomers acknowledge that all information provided, whether personal or otherwise may be used and<br \/>\nprocessed by VGM Networking in accordance with the regulation\u2019s terms of Protection of Personal<br \/>\nInformation Act, no.4 of 2013.
